CVSL Stock Opens, Closes At $13 In Debut

CVSL, a holding company for direct sale businesses, debuted on the New York Stock Exchange Friday, uplisting from an over the counter exchange.

Dually headquartered in Dallas and Luzern, Switzerland, CVSL saw its stock traded as high as $19.85 per share on the OTC market in the past year. It hit NYSE under the ticker symbol CVSL and opened and closed at $13 per share.

"We didn't really anticipate a large change in the pricing, the point was more to be on the stock exchange," said Russell Mack, vice president of the company. "This was the first step of a long-term strategy."

Just over 18 months ago, CVSL made its first acquisition, buying Longaberger, an Ohio company that creates pottery and baskets. It now owns eight businesses in the direct to consumer market and want to continue to add to its portfolio. M&A will be the company's major focus in 2015 as it works to grow geographically and across industries.

"Right now out of our companies we represent nine industries," Mack said. "What we want to do is build outward and diversify so CVSL represents as many categories of direct to consumer as possible."

"We also want to expand geographically," he added. "We're currently selling in 40 countries worldwide, and we want to continue to expand that so that eventually we're in every market globally"

Natura Cosmetics Joins B Corps: Will Other Big Business Embrace Sustainability Certification?

The Guardian reports: 

Natura, Brazil’s top cosmetics, fragrance and toiletries maker, this week became the largest – and first publicly traded – company to attain B Corps sustainability certification.

The certification program, which is run by B Lab, is designed to encourage high standards of environmental and social stewardship and transparency among businesses.

Until now, in some ways, B Corps has seemed like a noble – if limited – experiment, a method for ideologically driven companies to pursue sustainability while still surviving in a business environment that is red in tooth and claw.

While the program has had considerable growth – currently, there are more than 1,170 B Corps businesses located across 37 countries – the majority are small and privately owned. The question arises: for all the good that the B Corps does, can it appeal to major economic players?

Natura’s recent move suggests that the answer is yes. And the Brazilian company isn’t the only prominent, well-funded business that has recently sought certification. Earlier this month, crowdfunding platform Kickstarter and energy company Green Mountain Power both announced that they have attained B Corps certification.

Both companies are strong players in their respective fields. In March 2014,Kickstarter passed the $1bn mark in lifetime funding – and over half of that money was raised between March 2013 and March 2014. In other words, the friendly little funding site is rapidly gaining real economic might. As for Green Mountain Power, the first B Corp utility, it supplies electricity to 80% of the households in Vermont.

But the biggest news, by far, is Natura. With 7,000 employees and extensive operations across Latin America, the company posted net sales of US $2.65bn in 2013. It is also a major player globally: in addition to extensive overseas sales, Natura owns 65% of Australian cosmetics maker Aesop, which has operations that extend across Asia, Australia, Europe and North America.

Taken as a whole, Kickstarter, Green Mountain and Natura represent a shift in the size and scope of B Corps’ businesses. “In the past two years we’ve seen an increasing number of large and well-known companies join the movement,” says Katie Kerr, communications director at B Lab.

While the reasons for pursuing B Corps certification vary from company to company, Kerr notes that they usually come down to three main considerations: branding, legal protection and talent recruitment. The first reason, she notes, certainly applies to Natura: “For 40 years, Natura has been a leader in sustainability in Latin America. B Corp certification could help them solidify their position and solidify their commitment for the future.”

This aim was borne out by a recent announcement from Natura, in which the company announced plans to establish “concrete commitments” to adopt new sustainability guidelines by 2020.

In the US, the legal ramifications of B Corps certification – and the related “Benefit Corporation” designation – can provide significant legal protection for a company’s sustainability objectives, both from shareholders and potential takeovers. Unsurprisingly, many companies with a documented commitment to sustainability – such as Ben & Jerry’s, Warby Parker, Method cleaning products and Cabot Creamery – have sought the designation.

In the long term, though, the biggest value of B Corp certification may be its value in attracting high-quality employees. A recent Brookings report noted that 64% of millennials will take a pay cut to work for a job they value and that 63% want their employers to “contribute to social and ethical causes”. With this in mind, Kerr argues: “B Corp certification can be very helpful for companies trying to attract the best talent.”

With its expansion into high-profit, international businesses, B Corps seems to be demonstrating that sustainability isn’t merely a consideration for small companies. “Any business can be committed to measuring their impact and start using business as a force for good,” Kerr says.

That’s the theory, anyway. Industry insiders will certainly be keeping an eye out to see whether more mainstream businesses follow suit.

Zurvita And Spurilla Approved By The DSA

The Board of Directors of the Direct Selling Association recently approved the membership application of two direct selling companies. The companies are:

  • SAS SPURILLA, LLC
  • Zurvita

Each of these companies completed the minimum one-year pending period required for full membership in the association. During this time, the company’s marketing and business plan were reviewed to ensure compliance with all provisions of DSA’s Code of Ethics.

“The members of the Direct Selling Association pride themselves in their commitment to the highest standards in business ethics,” said DSA’s President Joseph Mariano. “By applying for membership in the association and going through a rigorous approval process, these companies are demonstrating that they take their ethical obligations to their field salesforce and to the ultimate customer seriously and are willing to make a public pledge to that effect.”

DSA’s Code of Ethics gives the direct selling industry one of the strongest self-regulatory codes in business today. All member companies are not only required to comply with the Code to be admitted to the association, but must also continue to uphold and promote the Code as a condition of continuing membership in the association. DSA’s Code is enforced by an independent code administrator who investigates and prescribes remedies in response to salesforce and consumer complaints against member companies.

The Code itself includes provisions requiring truthful disclosure of product information regarding price, grade, quality, quantity and availability. The Code expressly prohibits pyramid schemes, deceptive or unlawful consumer or recruiting practices, misrepresentation of earning or sales potential, inventory loading and unreasonable entrance fees.

4 Things Amway Learned On Survey Of Over 40,000 On Entrepreneurship

For the past five years, Amway has been gathering data on entrepreneurs and what makes them different from other worker bees.

In the recently released 2014 Amway Global Entrepreneurship Report, the Michigan company surveyed more than 40,000 people to gain insight about the state of self-employment around the world. This year's survey questions explored the connection between education and entrepreneurship.

The report is intended to advance the discussion on entrepreneurship and lead to a deeper understanding of what can be done to encourage and better prepare more people around the world to start businesses of their own, said Amway Chairman Steve Van Andel.

"Entrepreneurs play an important role in growing economies," said Van Andel in a statement. "They create jobs, encourage competition and help communities grow and flourish. As the business environment has changed through the years, so have the reasons people decide to venture out on their own.”

The world’s biggest direct sales company credits its success to the entrepreneurial spirit of its more than 3 million “Amway business owners” who sell the company’s vitamin supplements, cosmetics and household products. The privately owned companyreported 2013 sales of $11.8 billion.

The first survey launched in 2010 as the Amway European Entrepreneurship Report, then expanded worldwide in 2013 to encompass 24 countries. This year's report reaches across 38 nations, with face-to-face and telephone interviews conducted with 43,902 men and women ages 14 to 99, who were not affiliated with Amway.

Here are four takeaways from the report:

• 1. Entrepreneurs can be made. The majority of respondents – 63 percent – reported that they believe entrepreneurship can be taught. That belief was strong among those under 35, with 70 percent of this age group saying self-employment is attainable for everyone. There wasn’t a gender divide on this topic, with majority of men and women – 64 percent and 63 percent, respectively – agreeing that entrepreneurship is more nurture than nature.

• 2. Education is key. What are the most crucial aspect of entrepreneurship education? Topping the list was "basic business skills," according to 42 percent of respondents. Next was "leadership and management skills" and "entrepreneurship in practice," which garnered the nod from 37 percent of respondents. Close behind was schools and secondary education, special start-up programs and universities or higher education.

• 3. Positive attitude. On average, 75 percent of respondents have positive attitudes toward entrepreneurship, reflecting an increase of 4 percent over past year’s report. Those under 35 years were the most optimistic, at 80 percent. Entrepreneurial potential remained high as well, with two out of five respondents, or 42 percent, saying they can imagine starting a business. Findings showed a correlation between these two factors: In countries where people were more positive about entrepreneurship, a higher percentage can also imagine starting a business. However, only 9 percent of global respondents are currently self-employed, creating an entrepreneurial gap of 33 percent.

• 4. Freedom is motivation. When asked why they wanted to be entrepreneurs, 46 percent said "independence from an employer, being my own boss," while 43 percent identified "self-fulfillment, possibility to realize own ideas." Independence rather than wealth was more important younger respondents, ages 14 to 34. Researchers noted there was a variation in responses by country: the lower a country's economic output per capita, the less important independence becomes as a driver for entrepreneurship.

Younger generations, regardless of what countries they call home, are most optimistic about entrepreneurship, said Amway President Doug DeVos.

"The report points to their great potential,” DeVos said in a statement. “We must use this key insight to continue fostering the entrepreneurial spirit and create a global culture that unleashes the capabilities of younger people."

The survey was conducted for Amway by Isabell M. Welpe, chairwoman of Strategy and Organization at Technische Universitat Munchen. Fieldwork was completed by the Gesellschaft fuer Konsumforschung Nuremberg from April through July 2014.

SEC Files To Drop Insider-Trading Case On Herbalife

The Wall Street Journal just reported: 

The Securities and Exchange Commission on Monday filed to dismiss insider-trading charges against a man accused of profiting from privileged information tied to Herbalife Ltd.

The SEC had charged Jordan Peixoto, of Toronto, of buying Herbalife options after hearing William Ackman ’s Pershing Square Capital Management LP was planning to make a negative public presentation about the nutritional supplements maker. Mr. Peixoto ultimately ? made $47,100 in profits. 

The SEC said it is dismissing the charges because the two men who developed the information and passed it on to Mr. Peixoto aren’t available to testify at the trial, which had been set for March.

According to the agency, Mr. Peixoto was tipped off about Mr. Ackman’s planned comments by Filip Szymik, who learned the information from his roommate and longtime friend Mariusz Adamski, then an analyst with Mr. Ackman’s Pershing Square.

The two men, who were roommates in New York City at the time of the event, have since returned to their native Poland and have indicated they intend to assert their Fifth Amendment right against self-incrimination if compelled to testify.

Herbalife’s stock dropped 39% in the days following Mr. Ackman’s announcement.

Mr. Szymik, who didn’t trade in Herbalife securities, agreed to a $47,100 civil penalty in September to settle the charges.

Representatives from Herbalife and Pershing Square weren’t immediately available for comment.


MLM, Direct-Selling, and Affiliate Marketing – What’s The Difference?

In a recent article where Melaleuca was mentioned to deny being MLM, a debate began between individuals on what defines MLM. 

MLM simply means Multi-Level Marketing. If you are able to build a team of independent sales people that you earn an income from, this is multi level marketing, even if it's one line of IBO's. (Independent Business Owners) What makes MLM different from traditional sales are a few things. The distributors are all on a 1099 and not a W-2. They are independent, making their own hours, working at their own leisures.

A salesperson at a car dealership, for example, is hired by the car dealership and has to report in, still clocking in, still showing up for work and is expected to be there. If a salesperson doesn't meet the expectations, they are fired. In MLM, there's usually a low start up cost. In traditional sales, there is no start up cost and there may also be a minimum salary offered plus commissions. 

Some of the largest MLM companies are Herbalife, Amway, and Mary Kay. 

An IBO can't be fired. They can be terminated by the company for violation of a contract. Most network marketing (or MLM) companies fall comfortable in line with the MLM model, there are a few that will deny they are MLM and walk the line on definition. But most in the industry would still put them under that category. An MLM generally relies on its distributors for marketing of the products and advertising.

A traditional sales company still has a very high budget for marketing and advertising. Avon is one of the few exceptions in where they still spend a large amount on a marketing budget. Avon is an MLM company that takes on a lot of direct-selling attributes, such as focusing on product sales and retailing and offering limited commissions on team building.

Anyone can sign up in MLM. Not everyone can sign up for traditional sales as they have to go through a traditional job interview with a manager to be accepted. In traditional sales, they are mostly employees.

An Affiliate program is one where someone signs up for free (in most cases) and earns a referral bonus for marketing a product or service. Amazon, AWeber, Host Gator, and Get Response are all examples of affiliate programs. The ability to build a team is not present. There's usually no quotas or overhead. The referral fees are usually nominal and there is no motivation to sell, or any programs to motivate the individual to sell in most cases.

A direct selling company is a cross between an affiliate program and an MLM. In a direct-selling company, there will be a start-up cost and the person will most likely earn commissions the same way as an MLM without building a team. They will most likely have a regional director of sorts and be invited to attend meetings that help motivate them to sell products. Their focus is 100% on selling products. There may be a referral bonus for referring someone else to become a distributor for the company, but it is a one-time bonus. An example of a true direct-selling company is Chloe+Isabel, a national jewelry company based out of New York City. 

A direct-selling company, such as Chloe+Isabel, also does not sign everyone up. Individuals must fill out an application and applicants are limited to keep the market from saturating. 

The confusion for many is that there are several companies that blur the lines and are hybrids of different styles of network marketing and direct-selling companies. Although Avon is traditionally considered an MLM company, recent statements by the company after they dropped their membership with the DSA seem to push them towards the direct-selling model. 

While affiliate programs and direct-selling companies primarily focus on retailing their products, it is the MLM company that continues to go under fire by the public and media for focusing on income and team-building. There are benefits and drawbacks to all three models and it is important for an individual to understand what they're signing up with before working with a company. 

MonaVie Launching In China On December 22nd

MonaVie announced that their next international market opening will be in China. They have been laying the groundwork for the last couple of years to open in this market.

Pre-launch period starts December 22
Chief Financial Officer Jim Marsh will team up with Dan Zhu, President of Asia Pacific, for a ribbon cutting celebration at the MonaVie Shanghai Administration Office on Monday, December 22, 2014. This will mark the official opening of the office and the official kick-off of our pre-launch period in China.

“For years now we have been exploring the opportunity to enter China, which can quite possibly become the largest direct selling market in the world,” Dan Zhu said. “Plus, one of the fastest-growing segments of our global distributor family is among our ethnic-Chinese distributors that have ties to China.”

During the pre-launch period, China entrepreneurs and consumers will be able to start building their business and ordering product. (Please note the requirements to build in China listed below.)

Along with their main office in Shanghai, they will also be opening an office in Guangzhou on the same date. They will also open an office in Beijing in April 2015.

Requirements to build a MonaVie business in China

Distributor will need to cover travel expenses to China and fees associated with the training.

2-day training in Hong Kong
2-day training in Guangzhou

Training covers all compliance policies and regulations that must be followed when doing business in China.

Beverly Monical of Tampa, Florida was always admired by her fellow Talk Fusion Associates worldwide for her passion, love of Talk Fusion, and faith–even in moments of adversity. A driven team leader with great aspirations for the future, Beverly had always dreamed of attending Talk Fusion’s luxurious, bi-annual Dream Getaway incentive trip in Maui. However, the four-time cancer survivor was never able to attend.

As a testament to her hard work and determination, Beverly was given an honorary passage to Dream Getaway at Talk Fusion’s annual Corporate Event, IMAGINE, in Tampa this April. Unfortunately, her health declined and she had to cancel. That would be her last chance to make the trip.

Beverly lost her battle with breast cancer this summer.

TelexFree Receiver Stephen Darr Speaks Out

In 35 years of handling bankruptcy cases, Stephen Darr has seen plenty of ugly. He has doled out funds to creditors of an asbestos company and a machine gun maker and to victims of several Ponzi schemes.

But nothing comes close to the scale of the TelexFree Inc. bankruptcy. Never in history has a trustee been responsible for divvying up the assets of a company that prosecutors say defrauded 2.1 million people, from Boston to Uganda.

Darr, an accountant by trade and senior managing director at Mesirow Financial Consulting in Boston, is the court-appointed trustee charged with paying out claims to victims who believe they are owed more than $1 billion in the case. TelexFree was purportedly a long-distance phone company, but in reality generated most of its money by luring a stream of small investors from 2012 until it was shut down earlier this year, according to prosecutors.

Many Brazilian immigrants risked — and lost — large portions of their savings, in hopes of reaping the generous returns that were promised.

“I feel very sympathetic toward these people,’’ Darr said. “They lost a lot of money. They deserve to get it back, and it’s my job to get it back to them as quickly and as fairly as possible.”

He may have the toughest job in Boston right now: It will be virtually impossible to satisfy everyone.

Darr gets a half-dozen heart-rending e-mails a week from victims around the world who are wondering how and when they might get their money back. A professor from Ghana thanked him for his work and said she hoped for God’s intervention. A 21-year-old Framingham woman said her mother had fallen into a depression over her TelexFree losses. A man from Madeira Island, off the coast of Morocco, offered to show Darr around if he ever travels there.

TelexFree filed for bankruptcy protection in April, just before state and federal authorities raided its Marlborough office and filed civil fraud charges against the firm. Carmen Ortiz, the US attorney in Massachusetts, seized $150 million worth of assets from the company, including the cars and boats of one of its owners.

In Brazil, where TelexFree originated and was shut down in 2013, the authorities have frozen $350 million.

Basic math would mean each victim gets $238. But it won’t be that simple. Darr and his team must establish a claims process that verifies whether each person had a TelexFree account and how much money was lost while ensuring that a claim paid in Brazil is not also submitted in Boston. A bankruptcy judge in Worcester must approve the process in advance.

“There’s a lot of complexity to this,’’ Darr said, dramatically understating the case.

James Merrill - Former CEOAnd without a guilty verdict, there is no meaningful money for Darr to distribute. TelexFree’s two US-based owners are facing trial on criminal fraud charges. One of them, Carlos Wanzeler, fled to his native Brazil when the alleged scam collapsed, and is a fugitive, according to prosecutors. The other, James Merrill of Ashland, is home with a GPS tracking bracelet and a curfew. Both men deny the charges but could spend up to 20 years in prison if found guilty.

In the meantime, the TelexFree victims must wait.

Darr, 68, works with two computer screens and a laptop on his desk, accounting manuals on his shelves, and a view of the harbor from his modest space in a Franklin Street office tower.

He is a Quincy native and a Boston College graduate, with an MBA from the University of Chicago and a penchant for fishing for salmon in northern Canada. He has spent his career in Boston, working for the accounting giant KPMG before it spun off Mesirow, his current employer.

He is well-known in Boston bankruptcy circles. Among other cases, he has handled claims related to feeder funds for Bernard Madoff. He is now serving as financial adviser to the trustee in the New England Compounding Center bankruptcy case, which is distributing a proposed $135 million to victims of the Framingham pharmacy involved in a 2012 meningitis outbreak.

Bankruptcy rarely produces happy stories for anyone. TelexFree is especially distressing because of the sheer number of victims, Darr said, many of them working people who lost significant savings. Some don’t speak English, and a portion are undocumented, so they are fearful of drawing attention to themselves.

“They’re salt of the earth, hard-working folks,’’ Darr said. “Many of the people don’t understand that it really wasn’t a business, that everything that was generated was really smoke and mirrors.”

In US Bankruptcy Court in Worcester, there were victims who pleaded with Judge Melvin S. Hoffman to let the trustee reopen the business, Darr said, as if there were a business to reopen.

Darr and two members of his Boston staff are combing through TelexFree’s data, and its accounting computer program, which runs in Portuguese and includes 1.3 billion customer transactions. Darr said he has subpoenaed records from banks, lawyers, and accountants and pored over about 200,000 documents to decipher how TelexFree operated and gathered money.

Ross Martin, a bankruptcy attorney and a partner at Ropes & Gray in Boston, said Darr is respected in his field.

“The key thing in some of these cases is a combination of accounting and information technology specialists, because they have to go in and look at the computer systems and look at the data and the contracts and piece all that together,’’ Martin said.

Darr’s office has received 29,000 paper TelexFree claims, many of them from early on in the case. But he is discouraging people from sending any more documents and wants the entire process to be electronic, for cost and efficiency’s sake.

“It’s too voluminous to process,’’ he said. Just to handle a hard-copy claim, photocopy it, and turn it into an online document costs about $10 a claim, he said.

“If you’ve got a million claims, that’s $9 million or $10 million” in expenses — and less money for victims. As in other bankruptcy cases, Darr and his colleagues will be paid out of the same pot of money as the victims.

Darr’s staff and a law firm he hired, Murphy & King, can earn up to $550 an hour for their work on the case. Darr himself can earn a maximum of 3 percent of the total funds distributed to victims and creditors. A judge must approve any of those payments.

Darr estimated that, at 10 minutes per claim, it would take eight years for one person working full time to process 100,000 claims. Instead, he envisions building a website that allows claimants to fill out an online form and get a quick response on whether they are eligible to receive money, and an estimate of how much that would be.

Nadine Cohen, head of the consumer rights unit at Greater Boston Legal Services, which provides legal assistance to low-income people, has been working with community groups like the Chelsea Collaborative to help provide information to TelexFree victims.

“The number of people is just overwhelming,’’ Cohen said. “Our interest is making sure that the lower-income people who really were at the bottom of the whole thing and never got any money back — to make sure that they’re filing claims.’’

She also is working with prosectors and Darr’s office to make sure undocumented people who were victims — sometimes losing their life savings on TelexFree — can submit claims without fear of reprisal.

“We want to make sure that everyone’s rights are protected,’’ Cohen said. “I think Stephen Darr has been very sensitive to these issues.”

In the end, Darr will have to oversee a process that treats everyone equally. A certified public accountant who asks for help getting $100,000 back is no higher in the pecking order than 60,000 South African victims recently brought to his attention by their lawyer, he said.

“We have to go through the process. I can’t play favorites,” Darr said. “I’ve got a duty to do.”

He said prosecutors share his concern for compensating victims as quickly and equitably as possible. “But they also have the concern of putting the bad guys in jail.”
